What is a Form D filing?

A Form D is a notice that an issuer files with the U.S. Securities and Exchange Commission (SEC) for certain exempt offerings. That includes Regulation D, or Reg D, offerings and Section 4(a)(5) offerings. Once the issuer files it, the notice is public in EDGAR. For a B2B sales or research team, it can point to a disclosure worth reading. It is not SEC approval of the issuer or the offering. FormDFlow surfaces public-disclosure data from SEC EDGAR. 1. Form D is a notice, not an SEC approval

The SEC calls Form D a notice of an exempt offering. It reports what the issuer filed about itself and the offering. Seeing it in EDGAR does not mean the SEC approved, endorsed, or verified the issuer or the offering. Read the filed document for the issuer's disclosures and keep your separate research conclusions separate from the notice.

2. When a Form D appears on EDGAR

For a new offering, the SEC says the notice is due within 15 calendar days of the first sale. The first-sale date is when the first investor is irrevocably committed to invest. If the deadline falls on a weekend or holiday, it moves to the next business day. This is a filing deadline, not a complete timeline of the issuer's business activity or public statements.

3. Find the public source record

If you know an issuer's name or Central Index Key (CIK), use the SEC's company and filing search. A CIK is the SEC identifier for a filer. Open the filing history and look for Form D or Form D/A. Use full-text search when you need to narrow a larger set of filings by form type or date. For filing-specific facts, verify the source document in EDGAR.

4. Separate filed facts from FormDFlow-derived tags

A Form D contains filed fields such as the issuer name, form type, claimed exemption, disclosed offering amount, sales figures, and related persons. EDGAR also records filing metadata, including the filed date. FormDFlow uses filters and may show sector or stage tags to help people browse. Those tags are FormDFlow-derived labels, not facts stated in the Form D. Check the source filing before using a detail in research.

Regulation D at a glance
